Please read these Terms of Service carefully before using the TorqBooks platform. These Terms govern your access to and use of TorqBooks, operated by TorqBooks LLC, a Connecticut limited liability company. By creating an account or using any part of the service, you agree to be bound by these Terms.
By accessing or using the TorqBooks platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use TorqBooks. These Terms constitute a legally binding agreement between you and TorqBooks LLC, a Connecticut limited liability company.
TorqBooks is a cloud-based bookkeeping automation platform designed for automotive repair shops. The service includes receipt scanning and OCR processing, bank feed reconciliation, parts markup tracking, core charge tracking, daily profit notifications, and integration with QuickBooks Online. TorqBooks uses third-party providers including Plaid (bank connectivity), Veryfi (receipt OCR), QuickBooks Online (accounting engine), and Stripe (payment processing).
You must be at least 18 years old and authorized to bind your business to these Terms in order to create a TorqBooks account. By registering, you represent that all information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify TorqBooks immediately of any unauthorized access or security breach.
Each business location requires a separate TorqBooks subscription. You may not share account access across multiple shop locations under a single subscription unless you are subscribed to a multi-location plan.
TorqBooks charges a flat monthly subscription fee plus a one-time setup fee. The current pricing is available at torqbooks.com/pricing. All fees are in U.S. dollars.
Subscription fees are billed monthly on the anniversary of your subscription start date. Payment is processed automatically via Stripe using the card or bank account on file.
The one-time setup fee covers hardware installation, data migration, on-site training, and custom configuration. The setup fee is non-refundable once services have been rendered.
If a payment fails, we will notify you by email. Software access will be suspended within 48 hours of a failed payment. Access will be restored promptly upon successful payment. TorqBooks is not liable for any losses resulting from suspended access due to non-payment.
TorqBooks reserves the right to change subscription pricing with 30 days advance written notice. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.
TorqBooks subscriptions are month-to-month with no long-term commitment. You may cancel at any time by contacting TorqBooks directly.
Upon cancellation, your access to the TorqBooks platform will continue through the end of the current billing period. After that, access will be terminated. Your data will be retained for 90 days following cancellation, during which you may request an export. After 90 days, your data will be permanently deleted.
Monthly subscription fees are non-refundable. If you cancel mid-month, you will retain access through the end of that billing period but will not receive a prorated refund.
TorqBooks is licensed for use by automotive repair shop businesses for bookkeeping and financial management purposes only. You may not resell, sublicense, or otherwise transfer your subscription to another party.
You agree not to: (a) use TorqBooks for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the platform; (c) interfere with or disrupt the integrity of the service; (d) reverse engineer or attempt to extract the source code of TorqBooks; (e) use the service to store or transmit malicious code; or (f) use the service in any way that violates applicable federal, state, or local law.
You retain ownership of all data, receipts, invoices, and financial records you upload to TorqBooks. By using the service, you grant TorqBooks a limited license to access, process, and store your content solely for the purpose of providing the service.
You are responsible for the accuracy of the data you enter or upload to TorqBooks. TorqBooks is not responsible for errors in financial reporting that result from inaccurate data provided by you.
While TorqBooks maintains backup systems, you are encouraged to periodically export your financial data. TorqBooks is not liable for data loss resulting from circumstances beyond our reasonable control.
The TorqBooks platform, including its software, design, trademarks, and content, is owned by TorqBooks LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in TorqBooks intellectual property other than the limited license to use the service as described herein.
TorqBooks integrates with third-party services including QuickBooks Online, Plaid, Veryfi, and Stripe. Your use of these integrations is subject to the respective terms of service of those providers. TorqBooks is not responsible for any changes, outages, or data handling practices of third-party providers.
TorqBooks is provided "as is" and "as available" without warranties of any kind, express or implied. TorqBooks does not warrant that the service will be error-free, uninterrupted, or free of viruses. TorqBooks does not provide accounting, legal, or tax advice. You should consult a qualified professional for guidance on your specific financial and tax situation.
To the fullest extent permitted by law, TorqBooks LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the service, even if TorqBooks has been advised of the possibility of such damages. TorqBooks's total liability to you for any claim arising out of these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.
You agree to indemnify and hold harmless TorqBooks LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the service, your violation of these Terms, or your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of TorqBooks shall be resolved through binding arbitration in Connecticut, except that either party may seek injunctive relief in a court of competent jurisdiction.
TorqBooks reserves the right to modify these Terms at any time. We will provide at least 14 days written notice of material changes via email. Your continued use of the service after the effective date of any change constitutes acceptance of the revised Terms.
